IDEC APAC Online Sales Terms & Conditions
1. Scope
These Terms and Conditions govern the sale of products and services through the IDEC APAC Online Store ("Website"). By placing an order, the Customer agrees to be bound by these Terms and Conditions.
2. Product Information
Whilst IDEC endeavours to ensure that all product descriptions, specifications, images, pricing and availability information are accurate, such information is provided for general guidance only.
IDEC reserves the right to correct any errors, inaccuracies or omissions and to update information at any time without prior notice.
Product images are for illustration purposes only and may differ from the actual product supplied.
3. Pricing
All prices displayed on the Website are exclusive of taxes, duties, shipping charges and other applicable fees unless expressly stated otherwise.
Prices are subject to change without prior notice.
In the event of any pricing, typographical, currency conversion or system error, IDEC reserves the right to cancel, reject or amend any order, even after order acknowledgement.
4. Order Acceptance
Submission of an order does not constitute acceptance by IDEC.
Orders are deemed accepted only when:
IDEC issues an Order Confirmation; or
Products are shipped to the Customer.
IDEC reserves the right to:
Refuse any order;
Limit order quantities;
Request additional information or verification;
Cancel orders suspected of fraud, misuse or unauthorised activity.
5. Product Availability
Product availability, inventory levels and lead times displayed on the Website are provided for convenience only and do not constitute a guarantee of supply.
Products may become unavailable or subject to revised lead times before order acceptance.
IDEC reserves the right to allocate available inventory among customers at its sole discretion.
6. Payment
Payment must be made using approved payment methods offered on the Website.
Orders may be delayed or cancelled if payment authorisation cannot be obtained.
IDEC reserves the right to suspend shipments pending verification of payment information.
7. Delivery
Delivery dates and lead times are estimates only and are not guaranteed.
IDEC shall not be liable for any delay caused by:
Logistics providers;
Supply chain disruptions;
Component shortages;
Customs clearance procedures;
Government restrictions;
Force majeure events;
Circumstances beyond IDEC's reasonable control.
Risk of loss and damage passes to the Customer upon delivery to the carrier or designated delivery location.
8. Cancellation Policy
Cancellation requests must be submitted to IDEC in writing as soon as possible after order placement.
Orders may only be cancelled with IDEC's prior written approval and before the order has been processed, shipped, manufactured, configured, procured from suppliers or otherwise committed for fulfilment.
Special-order products, made-to-order products, customer-configured products, non-stock items, software products and products already shipped are non-cancellable unless IDEC expressly agrees otherwise.
Approved cancellations may be subject to cancellation charges, supplier charges, handling fees, restocking fees or any costs already incurred by IDEC.
IDEC reserves the right to cancel any order due to product unavailability, pricing or system errors, suspected fraud, payment issues, export control restrictions or circumstances beyond IDEC's reasonable control.
9. Returns and Refunds
Returns require prior written authorisation from IDEC.
The following items are generally non-returnable:
Special-order products;
Made-to-order products;
Customer-configured products;
Software products;
Non-stock items;
Obsolete or discontinued products.
Returned products must be unused, in their original packaging and in resalable condition.
Approved returns may be subject to inspection and applicable restocking charges.
10. Warranty
Products are supplied subject solely to the manufacturer's standard warranty, where applicable.
Except as expressly stated herein, IDEC disclaims all other warranties, whether express, implied or statutory, including any implied warranties of merchantability, non-infringement or fitness for a particular purpose.
11. Application Responsibility
The Customer is solely responsible for:
Product selection;
System design;
Engineering validation;
Installation;
Operation;
Maintenance;
Regulatory compliance.
Any technical information, recommendations or application guidance provided by IDEC is offered as general assistance only and shall not relieve the Customer of its responsibility to independently verify suitability for its intended application.
12. Functional Safety Disclaimer
Products intended for machine safety, functional safety or safety-related applications must be designed, installed, validated, tested, operated and maintained by suitably qualified personnel.
The Customer remains solely responsible for:
Performing appropriate risk assessments;
Verifying compliance with applicable laws and standards;
Ensuring proper implementation of safety functions;
Validating system performance under actual operating conditions.
IDEC does not warrant or guarantee that any product, by itself, will satisfy the Customer's safety requirements or applicable regulatory obligations.
13. Limitation of Liability
To the fullest extent permitted by law, IDEC shall not be liable for any:
Loss of profit;
Loss of revenue;
Loss of production;
Loss of business opportunity;
Loss of data;
Business interruption;
Indirect, incidental, consequential, punitive or special damages.
IDEC's aggregate liability arising from any claim relating to the products or services shall not exceed the amount paid by the Customer for the specific product giving rise to such claim.
14. Export Control and Compliance
The Customer agrees to comply with all applicable export control laws, sanctions regulations and trade restrictions.
Products may not be exported, re-exported or transferred in violation of any applicable laws or regulations.
IDEC reserves the right to refuse or cancel any transaction that may result in a violation of applicable export control requirements.
15. Force Majeure
IDEC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to:
Natural disasters;
Fire, flood or earthquake;
Pandemic or epidemic;
Labour disputes;
Transportation disruptions;
Utility failures;
Cybersecurity incidents;
Supplier shortages;
Government actions;
War, terrorism or civil unrest.
16. Intellectual Property
All content on the Website, including text, graphics, logos, product images, trademarks, software and documentation, remains the property of IDEC or its licensors.
No content may be copied, reproduced, distributed or used without prior written consent from IDEC.
17. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore.
Any dispute arising out of or in connection with these Terms and Conditions shall be submitted to the exclusive jurisdiction of the courts of Singapore.
