Promotion and evaluation of Top Management
In FY2022, the IDEC group established the Nominating Committee and launched a development plan aimed at facilitating the transition to the next generation of management. For selected candidates, we design tailored development programs based on their individual experience and skill sets, covering the acquisition of knowledge, mindset, and capabilities required for top management. In addition to promoting medium- to long-term development programs such as participation in external training and one-on-one action learning sessions with outside directors, we provide candidates with opportunities to gain firsthand exposure to management challenges and deepen their engagement with incumbent directors through participation in Top Management meetings and Board of Directors meetings.
With respect to promotion and evaluation following appointment as a director, we have established a set of criteria defining the ‟ideal profile of top management.ˮ Based on these criteria, the Nominating Committee evaluates and makes recommendations regarding the promotion of directors.
As part of this process, candidates report directly to the Board of Directors on the progress of their assigned objectives, enabling not only the Nominating Committee but the entire Board of Directors to directly assess the level of achievement, as well as the candidates’ performance, mindset and capabilities.
Through this continuous assessment process, the Nominating Committee deliberates on the evaluation results of candidates and submits its recommendations. The Board of Directors then reviews the appropriateness of these recommendations and resolves on the promotion of directors and the appointment of top management.
